Football generates large contractual cash flows, yet the timing of those cash flows can be uneven. Transfer instalments, sponsorship income, broadcasting distributions and agent service fees may become payable months after the underlying commercial event. For the party waiting to be paid, that delay creates a working-capital problem. For a specialist finance provider, it may create an opportunity to acquire or finance a receivable.
The addressable market deserves attention. FIFA reported that clubs in men’s professional football spent a record USD 1.37 billion on agent service fees in international transfers during 2025. That figure says little about the amount available for financing, the payment profile of individual claims or their credit quality. It does show that agent-related contractual payments form a material part of football’s financial system.
Tokenisation can support the issuance, administration and distribution of an investment product backed by these cash flows. The investable quality still comes from the receivables themselves. A technically elegant token cannot repair a disputed invoice, an unenforceable assignment or a concentrated pool of weak debtors.
This article explains how football receivables can move from contractual claims to a structured investment product, which risks must be underwritten and where tokenisation can add practical value.
A receivable is a contractual right to receive payment from another party. In football, potential receivables may arise from several sources:
Each category behaves differently. A transfer instalment owed by a well-capitalised club presents a different risk from a disputed service fee. A broadcasting distribution may have a predictable payment calendar, while sponsorship income may depend on performance obligations, termination rights or brand-related clauses.
The label “football receivable” therefore provides limited underwriting information. Investors need to know the legal origin of the claim, the identity and credit quality of the debtor, its maturity, the applicable law, any conditions to payment and the available enforcement route.
Agent service fees can create a genuine cash-flow timing issue. An agent may complete the contracted work before receiving the corresponding fee, especially when payment is linked to instalments, club cash flow or other contractual events. Financing can convert part of that expected future payment into immediate liquidity.
The first question concerns the existence of the fee. FIFA’s football-agent guidance states that a football agent may receive a service fee only when it corresponds to services stipulated in advance in a representation agreement and that agreement remains in force when the services are performed. National association rules, mandatory law and the specific contract may add further requirements.
The regulatory position also needs current, jurisdiction-specific review. Certain provisions of the FIFA Football Agent Regulations have faced legal challenges and implementation restrictions. A financing provider should never assume that one standard contractual or payment model applies unchanged across every European market.
That leads to a simple operating rule: finance documented, verified and assignable claims. Commercial familiarity with the football industry helps, but it cannot replace contract-level due diligence.
A tokenised receivables product is ultimately a credit product. Investors are exposed to the probability, timing and cost of collection. The underwriting process should answer six groups of questions before the structure reaches a distribution platform.
The data room should contain the signed contract, representation agreement, invoice, evidence of performance and any acknowledgement by the debtor. The financier should verify the amount due, currency, maturity date and payment conditions. Side letters, amendments, set-off rights and prior settlements can materially change the apparent value of the claim.
A receivable shown in a spreadsheet has little value until it can be reconciled with enforceable documentation. Where performance remains incomplete or acceptance is disputed, the financier may be underwriting litigation rather than a predictable cash flow.
The underlying contract and applicable national law determine whether the creditor can assign the claim, whether debtor consent is required and when notice becomes effective. Restrictions on assignment may invalidate the intended transfer or leave the purchaser exposed to defences it did not expect.
Cross-border transactions add conflict-of-law, notification, perfection and enforcement questions. Legal opinions should address the relevant jurisdictions and transaction facts. A generic statement that receivables are transferable provides insufficient protection.
Debtor analysis should cover financial capacity, payment history, existing liabilities, relevant disputes and dependence on player sales or competition income. Public visibility can create a false sense of security. A famous club can still have weak liquidity, substantial secured debt or a history of delayed settlement.
Where the fee depends on another payment moving through the football ecosystem, the financier should map the complete chain. A contract may be legally valid while the practical repayment source remains uncertain.
A pool containing many invoices may still be concentrated in one club, league, country, agent network or payment event. Effective diversification should be measured by debtor exposure, jurisdiction, maturity, contractual type and source of repayment.
Concentration limits should be established before origination begins. Otherwise, the availability of attractive individual receivables can gradually create a portfolio whose outcome depends on one debtor or one football season.
Potential controls include reserves, overcollateralisation, credit insurance, guarantees, security interests, eligibility criteria, repurchase obligations for ineligible claims and cash-flow waterfalls. Each control needs its own legal and economic assessment. An insurance policy, for example, only adds value when the insured event, exclusions, claims process and insurer credit quality match the portfolio risk.
The structure should also define what happens after delay or default. Servicing authority, enforcement costs, settlement discretion and investor reporting become decisive when a receivable stops performing as expected.
Origination, verification, custody of documents, collection and reporting should have clear owners. Related-party origination requires additional controls because the originator may influence asset selection, valuation and servicing.
A repeatable product needs reliable asset-level data. Investors should be able to understand portfolio composition, payment status, arrears, recoveries, amendments and realised losses without receiving personal or commercially sensitive information.
A discount to face value does not equal investor return. The economic result depends on the purchase price, time to collection, servicing costs, legal expenses, dilution, defaults, recoveries and the cost of financing the vehicle.
Consider a simplified claim acquired below its nominal value. A quick payment may produce an attractive annualised return. The same nominal recovery after a long delay produces a lower annualised result, especially after legal and administration costs. A partial settlement can reduce the return further even when the purchaser ultimately collects more cash than it invested.
Pricing should therefore use expected cash flows and loss assumptions rather than a headline discount. A disciplined model normally includes:
Historical data is particularly valuable. Where a new originator lacks a meaningful track record, the first portfolio may require tighter eligibility rules, more credit enhancement and a smaller scope.
Once eligible receivables have been identified, the sponsor must decide how investors obtain economic exposure. One approach is for a special-purpose issuer to acquire the receivables and issue notes whose payments depend on collections from the pool. The legal structure can define priority of payments, reserves, servicing fees, losses and investor rights.
The instrument’s substance determines its regulatory treatment. ESMA’s guidelines on crypto-assets qualifying as financial instruments apply a substance-over-form and technology-neutral approach. A crypto-asset that meets the criteria for a transferable security should be treated under the same financial-services framework as a traditional instrument with equivalent rights.
That means tokenisation does not create a separate regulatory shortcut. Where the issued instrument qualifies as a financial instrument, relevant requirements may include MiFID II, national securities law, anti-money-laundering controls, product governance and rules governing marketing and distribution.
A public offer may also engage the EU Prospectus Regulation. An available exemption from publishing a prospectus does not remove every disclosure, conduct or distribution obligation. Where a packaged product is made available to retail investors, the PRIIPs Regulation may require a key information document and associated product-governance work.
Tokenisation can improve the operational layer of a properly structured product. Potential benefits include controlled digital ownership records, smaller denominations, programmable transfer restrictions, streamlined investor administration and more efficient processing of payments or corporate actions.

Liquidity deserves particular caution. Digital transferability can make settlement more efficient, but it does not create buyers. Any secondary mechanism must have an appropriate legal basis, operational process and realistic source of demand.
A football receivables strategy can begin with a narrow pilot rather than a broad promise to finance the entire sports economy. A disciplined first phase could focus on one receivable category, a limited number of jurisdictions and clearly defined debtor standards.

This sequence gives potential investors evidence that the product begins with enforceable cash flows and disciplined credit work. It also helps the sponsor identify weak assumptions before platform development and distribution costs become substantial.
Football receivables can support an investable product when the underlying claims are documented, assignable, accurately priced and supported by credible servicing. The opportunity comes from solving a real timing problem in a large commercial ecosystem. The risk comes from treating industry relationships, contractual face value or token infrastructure as substitutes for underwriting.
The strongest projects will begin with a controlled asset perimeter, robust legal analysis, independent verification and transparent reporting. Tokenisation can then improve how the security is issued, administered and distributed.
